Welcome to The Virtual Stoop ("VStoop", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our web application and services (the "Service").

1. Acceptance of Terms

By creating a nickname and entering a "Stoop" (a chat room), you are entering into a legally binding agreement with us and agree to comply with these Terms, our Privacy Policy, and any additional guidelines posted on the Service.

2. User Accounts (Nicknames)

To use the Service, you must select a unique nickname. You are responsible for all activities that occur under your nickname. You agree that you will not:

• Select a nickname that is offensive, vulgar, or obscene.
• Impersonate any person or entity.
• Select a nickname that infringes on any third party's intellectual property rights.

We reserve the right to reclaim any nickname at any time for any reason.

3. User Conduct

You are solely responsible for your conduct while using the Service. You agree not to do any of the following:

• Post, send, or share any content that is illegal, harassing, hateful, defamatory, threatening, obscene, or otherwise objectionable.
• Engage in or promote any activity that is illegal or fraudulent.
• Violate the privacy of any third party.
• Distribute spam, unsolicited messages, or chain letters.
• Post, share, or transmit any content that contains viruses, malware, or any other harmful computer code.
• Disrupt, interfere with, or harm the Service, its servers, or its networks.
• Attempt to gain unauthorized access to any part of the Service.

We have the right to investigate and take appropriate action, including removing content or terminating your access, for any violation of these Terms.

4. User-Generated Content

Our Service allows you to create "Stoops," post messages, and set tags ("User-Generated Content" or "UGC").

• You retain all ownership rights to your UGC.
• By posting UGC, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, display, reproduce, distribute, and prepare derivative works of your UGC in connection with providing and promoting the Service.
• You are solely responsible for your UGC. You represent that you have all necessary rights to post your UGC and that it does not violate these Terms or the rights of any third party.

5. Copyright Policy & The "Boombox" Feature

VStoop respects the intellectual property of others.

A. The "Boombox" Feature: Our "Boombox" feature allows a user ("the DJ") to broadcast audio to other users on a Stoop. This is accomplished by sharing tab audio from third-party services (like Spotify, YouTube Music, etc.) via VDO.Ninja.

B. Your Responsibility as DJ: If you choose to act as a DJ, you are solely responsible for the content you broadcast. You represent and warrant that you have the necessary rights, licenses, or permissions to stream and publicly perform any copyrighted material (e.g., music, podcasts) that you broadcast. Broadcasting copyrighted content without permission may constitute copyright infringement.

C. Indemnification: You agree to indemnify and hold harmless VStoop, its owners, and its operators from any and all claims, damages, liabilities, and expenses (including legal fees) arising from any copyright infringement or other claims related to the audio you broadcast using the Boombox feature.

D. Takedown Notices: If you are a copyright holder and believe your work has been infringed upon, please contact us at topstoop@vstoop.com with a valid DMCA takedown notice.

6. Third-Party Services

Our Service integrates and links to third-party services, specifically **VDO.Ninja**, for its video chat and boombox streaming functionalities. Your use of these third-party services is subject to their own terms of service and privacy policies. We are not responsible or liable for the content, policies, or practices of any third-party services.

7. Termination

We reserve the right to, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason or no reason, without notice or liability. This includes the right to remove or delete any Stoop or UGC that violates these Terms.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, VSTOOP AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

9. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our Service. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
